1. About
These Terms govern your use of this website and your purchase of our professional services (“Services”). By accessing the site or engaging us, you agree to these Terms.
2. Scope of Services
We deliver bespoke solutions—software, hosting, hardware sourcing/integration, and embedded/HR support—under written statements of work or service orders (each, an “Order”). Each Order sets deliverables, milestones, acceptance, and fees.
3. Quotes, Orders, and Changes
Quotes are valid for the period stated. An Order is formed when agreed in writing (including e-signature). Changes to scope/timeline/assumptions may require a change order and adjusted fees.
4. Your Responsibilities
- Provide timely access to information, systems, and personnel.
- Ensure you have rights to any data or third-party materials you supply.
- Comply with applicable laws and (if paying through Stripe) card-network/Stripe rules.
5. Fees and Payment
Fees (fixed, time & materials, or subscription) are stated in your Order and invoices. Unless noted, fees exclude taxes and are invoiced in NZD or as specified in the Order. Invoices are due per the invoice terms.
5.1 Payment methods (Stripe)
We may accept card and wallet payments through Stripe. You authorize Stripe to process your payment. We do not store full card numbers or CVV. Your payment is subject to Stripe’s agreements and policies.
5.2 Refunds
- Before work begins: Full refund of any prepayment, less non-refundable third-party costs already incurred (if any).
- After work begins (milestone-based): Pro-rata refund of any unused prepayment against completed milestones, less committed external costs.
- Time & Materials: Hours delivered are non-refundable; any unused prepayment is refundable.
- Subscriptions/Managed services: Cancel renewal any time before the next billing date. The current period is non-refundable unless required by law or stated in the Order.
- Disputes/chargebacks: Contact us first. If a charge is disputed, we’ll work with Stripe under its refund/chargeback processes.
6. Fulfilment & Delivery
Delivery dates are estimates unless identified as milestones in an Order. Deliverables are provided digitally (repositories, documentation, deployments) or physically (hardware). Risk of loss for hardware passes on delivery under the Order. You will provide timely feedback for reviews/acceptance.
7. Confidentiality & Security
Each party will protect the other’s confidential information and use it only for the engagement. We design with security best practices and, when payments are enabled, rely on Stripe for card data processing (PCI responsibilities).
8. Intellectual Property
Unless the Order states otherwise, you receive ownership of bespoke work product upon full payment, excluding our pre-existing materials/frameworks and third-party components, which are licensed as needed to use the deliverables. We may reuse general know-how, not your confidential information.
9. Acceptable Use & Restricted Businesses
You may not use our Services for illegal or harmful purposes. If you use Stripe with our deliverables, you must comply with Stripe’s restricted/prohibited business rules.
10. Warranties & Disclaimers
We warrant Services will be performed with reasonable care and skill. Except as expressly stated, Services and the site are provided “as is”. Complex systems may rely on third parties (including Stripe) beyond our control.
11. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue. Our total liability for any claim is limited to fees you paid for the Services giving rise to the claim in the 12 months before the incident.
12. Indemnity
You will indemnify us from third-party claims arising from your misuse of the Services, breach of these Terms, or violations of laws or third-party rights.
13. Termination
Either party may terminate an Order for material breach not cured within 14 days after notice. Sections intended to survive (confidentiality, IP, payments due, disclaimers, limits of liability) survive termination.
14. Governing Law & Venue
These Terms are governed by the laws of New Zealand, except that for engagements primarily performed in the US or South Africa, the governing law may be the laws of the applicable state (US) or South Africa as specified in your Order. The competent courts in the chosen venue have exclusive jurisdiction, except that equitable relief may be sought in any competent court.

We maintain easily accessible contact details, refund policy, and fulfilment/delivery policy on this site to meet payment-processor requirements.
16. Changes
We may update these Terms from time to time. Updates take effect when posted.
